LLC Registration

Prepare and register a new Georgian limited liability company: founders, shares, charter, management, address and signing authority, with a clear handover after registration.

Advokato can help individuals and corporate founders establish a Georgian LLC after confirming the matter, conflicts and availability. The agreed work may include a formation checklist, founding agreement and charter, management consents, authority documents, registration filing and a handover of the decision and extract. We identify unresolved requirements and agree which corrections or follow-up tasks are included. Registration, bank approval or a particular tax treatment is not guaranteed.

The right route starts by assessing current law, facts, documents and deadlines together. This page provides a practical framework; an individual strategy is formed only after a confidential case assessment.

The Georgian Law on Entrepreneurs and the Public Registry rules govern formation. These points concern a new LLC; acquiring an existing company, registering a foreign branch or updating an older company's records are different tasks.

  1. Legal form: Article 123 describes an LLC with capital divided into shares and limited partner liability; the company answers to creditors with its own assets. Article 19 permits one founder. The form should fit the activity and any sector-specific requirements.
  2. Founding document: Articles 4–6 require a written agreement signed by all founders, incorporating the charter and registration data. LLC share percentages must total 100%. Specify management and representation accurately; a standard charter may apply where founders do not prepare their own.
  3. Signatures and consent: Article 4 provides notarisation or the specified registry/authorised certification and compliant electronic-signature alternatives. Representation authority has its own formal requirements. Under Article 9, each person with management and representation powers must consent unless that consent is expressed in the founding agreement.
  4. Name and address: Article 16 regulates the Georgian-language name and the LLC legal-form indication. Article 5(10) requires an actual address in Georgia. Public Registry Law Article 20(13) calls for duly confirmed owner consent or an appropriately executed agreement for using the premises.
  5. Effect of registration: Article 8 links state and tax registration and treats the entrepreneur as established on registration. This does not settle every tax election, regulated-activity permission, bank compliance decision or immigration requirement. Review those next steps separately before starting the relevant activity.

Procedure

How the matter is managed

  1. 01

Describe the intended activity, number and type of founders, proposed ownership, director, Georgian address and whether anyone will sign abroad. Confirm the scope, consultation language, costs and timetable.

  2. 02

Check founder identities and corporate authority, the proposed name, address evidence and management arrangements. Identify required translations, certification and any country-specific document formalities before signing.

  3. 03

Prepare the founding agreement and an appropriate standard or tailored charter. Reconcile share percentages, contributions, appointment of management and joint or individual representation. Separate shareholder negotiations require an agreed scope.

  4. 04

Arrange the required signatures, consents and representation authority; submit the application and fee evidence to NAPR under the agreed mandate. Track notices and address defects within the included work.

  5. 05

Check the registration decision and extract against the instructions. Hand over the formation documents and a list of next actions, such as tax/accounting, banking, licences and ongoing corporate administration.

Documents

Initial checklist

  • Initial enquiry: activity, founder count and whether they are people or companies, proposed ownership, director, available Georgian address, location of signers and desired timing. Avoid sending passport scans or identity numbers in the public enquiry form.
  • After agreeing a suitable channel: identity documents and matching names for founders and management. A corporate founder may need current registry documents, its charter, an approval and evidence of the signer's authority.
  • Proposed Georgian company name, share percentages and contribution arrangements; decisions about management, representation and any tailored charter provisions.
  • Duly confirmed consent of the premises owner or an appropriately executed agreement for use of the address; identify the property accurately. A mailing address alone does not resolve the legal-address requirement.
  • Management consents, the signed founding agreement, representation authority where applicable and fee-payment evidence. Confirm foreign-document translation, apostille/legalisation or an applicable exemption for the particular document and issuing country.

Risks

Common mistakes

  • Using an unsuitable standard charter or leaving voting, shares and signing powers inconsistent.
  • Signing abroad before checking the authority, certification and translation requirements.
  • Treating the agency's filing-day service as a promise that every preparation and business-launch step will finish that day.
  • Assuming company registration automatically supplies a bank account, licence, residence/work permission or a favourable tax regime.

Typical scenario

From facts to an action plan

Hypothetical example: two founders agree on 60/40 ownership but give conflicting instructions about whether either director can sign alone. Before filing, the lawyer reconciles the founding agreement, management consent and representation arrangement, and checks the address evidence. The example illustrates a formation check; it is not a client result or an approval guarantee.

FAQ

Direct answers to practical questions

Answers are general and do not replace individual legal advice.

01What will I receive from the lawyer?+

The agreed deliverables can include a document and decisions checklist, founding agreement and charter, management/authority documents, filing evidence, the registration decision and extract, and a handover of outstanding actions. Specify whether corrections, shareholder negotiations, banking support and ongoing compliance are included; they are not automatically one package.

02What are the official and professional fees?+

NAPR's current schedule lists GEL 200 for registration in one working day or GEL 400 on the application-filing day for entrepreneurs other than individual entrepreneurs. These are agency charges, not Advokato's fees or an all-inclusive budget. Professional fees depend on founders, corporate/foreign documents, charter complexity, languages, representation and agreed follow-up. Translation, certification, legalisation, additional extracts and other services may cost extra. Agree a written scope and quote before work.

03How long does the whole formation take?+

The agency's one-working-day or filing-day option applies to its registration service. Document collection, drafting, signatures, foreign formalities and corrections can extend the overall schedule. Availability and preparation time are agreed after checking the file; neither the registry decision nor the business launch is promised for a fixed date.

04Can a sole or foreign founder register remotely?+

Article 19 allows a single founder, while Article 5(9) addresses identification data for foreign people and legal entities. A representative may be used with compliant authority and documents. Confirm the signing method, issuing-country formalities and any sector restrictions before arranging remote execution. Bank checks and any required personal attendance are separate; remote formation is not a universal promise.

05Does the LLC registration include banking, tax benefits or residence?+

Registration creates the entity and includes state and tax registration under Article 8. It is not a promise of bank acceptance, a special tax status, a licence or immigration permission. Identify the intended activity and people who will work in Georgia so that the relevant banking, tax, regulatory and immigration work can be scoped separately.
