LLC formation requires both NAPR formalities and clear design of shareholder, director and signatory authority. This is especially important in multi-owner and foreign-owned structures.

Decisions before filing

Set shareholders and shares, contribution form, director, legal address, representation rules and business description. Filing before these decisions are real merely postpones the problem. Use each foreign shareholder’s identifier consistently across every document.

Standard or tailored charter

A standard charter simplifies launch but may not cover vetoes, further funding, transfers, pre-emption, deadlock and exit. Tailored wording must comply with the Law on Entrepreneurs and avoid conflict with a separate shareholders’ agreement.

Registration file and certification

The official FAQ identifies the founding agreement or charter, proper signatures, management consent and fee proof. Use of the legal address needs a valid basis. Where a representative files, the power of attorney should expressly cover the acts required and be properly authenticated and translated.

Director authority and banking mandate

Treat registered representation, charter, internal approvals and bank mandates as one system. Dual signature increases control but can slow operations; sole authority is faster but needs strong internal payment and reporting rules.

Corporate records after formation

Keep the final charter, extract, shareholder and director decisions, signature records, beneficial-owner evidence and a change log. Update relevant registries and banks promptly when address, director, shares or representation changes.
